Terms of Service

These Terms of Service ("Terms") govern your access to and use of the products and services provided by BlackX Technology Pvt Ltd ("BlackX", "we", "our", or "us"), including BlackX Sell, Point of Sale (PoS), Customer Management, GST Invoicing, Order Management, and Analytics and Reporting (collectively, the "Services"). By registering for or using any of our Services, you ("Merchant" or "you") agree to be bound by these Terms. If you do not agree, you must not access or use our Services.

1. Eligibility and Account Registration

To use BlackX Services, you must be a legally registered business or an authorized representative of one. By creating an account, you represent that all information provided is accurate, current, and complete, and that you have the legal authority to enter into these Terms on behalf of your business. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, including actions taken by your staff users. BlackX reserves the right to refuse registration or cancel accounts at its discretion.

2. Description of Services

BlackX provides a suite of business management tools designed for merchants. BlackX Sell enables merchants to list, manage, and track products and inventory. The Point of Sale (PoS) feature facilitates in-person and digital sales transactions. Customer Management allows merchants to maintain records of their customer base. GST Invoicing enables the generation of tax-compliant invoices in accordance with applicable Indian tax law. Order Management provides tools to track, process, and fulfill customer orders. Analytics and Reporting gives merchants visibility into their business performance through data dashboards and reports. BlackX may update, modify, or discontinue any feature of the Services at any time with reasonable notice to merchants.

3. Acceptable Use

You agree to use the Services only for lawful business purposes and in accordance with these Terms. You must not use the Services to engage in any activity that is fraudulent, deceptive, or misleading, to upload or transmit content that is unlawful, harmful, or infringes on the rights of any third party, to attempt to gain unauthorized access to any part of the platform or any other system connected to it, to interfere with or disrupt the integrity or performance of the Services, to reverse engineer, decompile, or attempt to extract the source code of the platform, or to use the Services in any way that violates applicable laws or regulations including but not limited to those related to data protection, consumer protection, and tax compliance in India. BlackX reserves the right to suspend or terminate access to any account found in violation of this section without prior notice.

4. GST Invoicing and Compliance

BlackX provides GST invoicing tools to assist merchants in generating tax-compliant invoices. While we endeavor to keep the invoicing module up to date with applicable GST rules under the CGST Act, 2017 and related regulations, it is the sole responsibility of the merchant to verify the accuracy of all invoices generated and to ensure compliance with their own tax obligations. BlackX does not act as a tax advisor, and nothing in the Services constitutes tax or legal advice. Merchants are advised to consult a qualified tax professional for guidance specific to their business.

5. Billing and Payment

BlackX operates on a usage-based pricing model. Your monthly charges are calculated based on actual usage of the platform during the billing period, including active products, active add-on products, active customers, and active staff users. Invoices are generated at the end of each calendar month and payment is due upon receipt. You are never charged in advance. For full details, please refer to our Refund and Cancellation Policy.

6. Intellectual Property

All rights, title, and interest in and to the BlackX platform, including its software, design, interface, trademarks, logos, content, and underlying technology, are and remain the exclusive property of BlackX Technology Pvt Ltd. Nothing in these Terms transfers any intellectual property rights to you. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for your internal business operations during the period your account remains active. Any unauthorized reproduction, distribution, modification, or use of BlackX's intellectual property is strictly prohibited.

7. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You retain ownership of the business and customer data you input into the platform. By using the Services, you grant BlackX a limited licence to process and store that data solely for the purpose of delivering the Services to you. You are responsible for ensuring that any customer data you upload or manage through the platform is handled in compliance with applicable data protection laws.

8. Limitation of Liability

To the maximum extent permitted by applicable law, BlackX and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Services, including but not limited to loss of revenue, loss of data, or business interruption, even if BlackX has been advised of the possibility of such damages. Our total aggregate liability to you for any claim arising under these Terms shall not exceed the total amount paid by you to BlackX in the three months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes liability for fraud, death, or personal injury caused by our negligence.

9. Disclaimers

The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. BlackX does not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components. We do not guarantee that the Services will meet your specific business requirements. Use of the Services is at your own risk.

10. Termination

You may stop using the Services at any time. As described in our Refund and Cancellation Policy, no cancellation fees or notice periods apply. BlackX reserves the right to suspend or permanently terminate your access to the Services at its discretion, with or without notice, if you breach these Terms, engage in conduct that is harmful to the platform or other users, fail to make payment for amounts due, or for any other reason BlackX reasonably considers sufficient. Upon termination, your right to access the Services ceases immediately. Any outstanding invoice for usage incurred prior to termination remains payable.

11. Modifications to the Terms

BlackX may revise these Terms from time to time. If changes are material, we will notify merchants via the BlackX dashboard or registered email before the changes take effect. The date at the top of this page reflects the most recent revision. Your continued use of the Services after the effective date of any update constitutes your acceptance of the revised Terms.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
